TACEN EXCHANGE VOLUME GIVEAWAY

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN.

TERM. The Tacen Exchange Volume Giveaway (the “Giveaway”) will begin on September 22, 2023 (the “Start Date”) and will end when the aggregate trading volume on Tacen Exchange (tacen.exchange) and Tacen Swap (swap.tacen.exchange) (the “Trading Volume”) reaches $100,000 in USD value (the “Volume Threshold”). The date on which the Trading Volume surpasses the Volume Threshold is the Giveaway “End Date”.

HOW TO ENTER. Beginning on the Start Date, participants may enter the Giveaway by either executing a trade or trades on Tacen Exchange or Tacen Swap, or by submitting an entry by completing the survey at https://fq14s6a0wm6.typeform.com/to/iG3Z2j4r. Survey submissions must include all required information to enter. Use of any robotic, automatic, programmed, or similar entry method will void all entries and result in disqualification. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules.

ELIGIBILITY. The Giveaway is open to individuals 18 years of age and older as of the Start Date; provided, however, that the Giveaway is not open to:

Employees of High Plains Blockchain, LLC (the "Sponsor") and its affiliates, subsidiaries, and agencies (collectively "Promotion Parties"), and members of their immediate family or persons living in the same household; and

Persons in a jurisdiction or territory that is the subject of (i) economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties (including but not limited to the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury) or (ii) comprehensive country-wide, territory-wide, or regional economic sanctions by the United States.

PRIZE; SELECTION. The Sponsor will conduct a random drawing within a commercially reasonable timeframe after the End Date to select the winner from among all eligible entries received. Odds of winning depend on the number of entries received. The potential winner will be notified and must sign and return any required Affidavit of Eligibility and Release within 10 days of the date notice is sent or such other date set by Sponsor. Failure to respond within the applicable time period will result in forfeiture of the prize and the Sponsor shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of the prize are the responsibility of the winner. By entering this Giveaway, entrant accepts and agrees to these Official Rules and the decisions of the Sponsor, which shall be final in all matters. Acceptance of a prize also constitutes permission to the Promotion Parties to use winner's name and account handle for marketing purposes without further compensation or right of approval, unless prohibited by law. All federal and state laws apply.

LIMITATION OF LIABILITY. By entering this Giveaway, entrants waive all right to, and hold the Promotion Parties harmless from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with participation in this Giveaway or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. The Promotion Parties will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive prize notices due to entrant's spam, junk e-mail, or other security settings or for entrants' provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this Giveaway; by any human error which may occur in the processing of the entries in this Giveaway; or any typographical, technological, or other error in the publishing of the offer, administration of the Giveaway, or announcement of the prize. If, in the Sponsor’s opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the Giveaway, or if technical difficulties (including viruses and bugs) compromise the integrity of the Giveaway, the Sponsor reserves the right, in its sole discretion, to cancel or modify this Giveaway in a manner deemed appropriate by the Sponsor. In the event of termination, a winner will be selected from among all eligible entries received as of the date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made through the wallet address(es) or contact information associated with trades made on Tacen Exchange, or through the contact information associated with a survey entry.

PRIZE. Total prize value: $500.00 USD or its equivalent value in cryptocurrency, as determined by the Sponsor upon remittance. The Sponsor reserves the right to substitute a prize of equal or greater value. If a potential winner is disqualified for any reason, the Sponsor will award the applicable prize to an alternate winner from among all remaining eligible entries.

CHOICE OF LAW. Entrant agrees that all matters arising out of or relating to this Giveaway and these Official Rules are governed by, and construed in accordance with, the laws of Wyoming, without giving effect to any of its conflict of laws provisions thereof.

ARBITRATION. ANY CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THE GIVEAWAY OR THESE OFFICIAL RULES, OR ANY OTHER ACTS OR OMISSIONS FOR WHICH YOU MAY CONTEND THAT THE PROMOTION PARTIES ARE LIABLE, INCLUDING, BUT NOT LIMITED TO, ANY CLAIM OR CONTROVERSY AS TO ARBITRABILITY (“DISPUTE”), SHALL BE FINALLY AND EXCLUSIVELY SETTLED BY ARBITRATION UNDER THE JAMS OPTIONAL EXPEDITED ARBITRATION PROCEDURES. YOU UNDERSTAND THAT YOU ARE REQUIRED TO RESOLVE ALL DISPUTES BY BINDING ARBITRATION. THE ARBITRATION SHALL BE HELD ON A CONFIDENTIAL BASIS BEFORE A SINGLE ARBITRATOR, WHO SHALL BE SELECTED PURSUANT TO JAMS RULES. THE ARBITRATION WILL BE HELD IN CHEYENNE, WYOMING, UNLESS YOU AND WE BOTH AGREE TO HOLD IT ELSEWHERE. UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE YOUR CLAIMS WITH THOSE OF ANY OTHER PARTY. ANY JUDGMENT ON THE AWARD RENDERED BY THE ARBITRATOR MAY BE ENTERED IN ANY COURT OF COMPETENT JURISDICTION. IF FOR ANY REASON A CLAIM BY LAW OR EQUITY MUST PROCEED IN COURT RATHER THAN IN ARBITRATION YOU AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL AND ANY CLAIM MAY BE BROUGHT ONLY IN A FEDERAL DISTRICT COURT OR A WYOMING STATE COURT LOCATED IN LARAMIE COUNTY, WYOMING. YOU AGREE THAT YOU MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A CLAIMANT, PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

TERMS OF USE; PRIVACY. By participating in the Giveaway, you agree to be bound by the Tacen Exchange Terms of Service and the Tacen Swap Terms of Service, as amended from time to time. Information submitted with an entry is subject to the Tacen Exchange Privacy Policy and Tacen Swap Privacy Policy, as amended from time to time.

SEVERABILITY. If any provision of these Official Rules or the Giveaway is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
